STANDARD GUARANTY

I. Supplier will issue a formal certificate of analysis and guarantee the accuracy of said analysis.

II. Supplier warrants that (1) product ingredients and contents conform with the ingredient declaration set forth on the product label and the specifications established for such ingredients (2) the products have been manufactured in accordance with all applicable good manufacturing practices for foods and or dietary supplements (3) each product conforms to its product specification, and (4) each product is fit for human consumption.

III. The item(s) comprising each shipment or other delivery made by supplier is hereby guaranteed, as of the date of such shipment or delivery, to be, on such date, in compliance with any and all applicable laws and not to be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act, and not an article which may not, under the provisions of section 404, or 505, of that Act, be introduced into interstate commerce.

IV. Supplier shall indemnify and hold Food Sciences Corporation harmless from and against any and all liability and for any damages arising from variation or non-compliance relating to paragraphs I, II and III above.

V. Supplier agrees to reimburse Food Sciences Corporation for any costs incurred as a result of non-compliance with paragraphs I, II and III above.

VI. Supplier shall maintain a general liability insurance policy with limits of at least $ 3,000,000.
